Flowthrough Entities Workshop: An Entire Morning Dedicated to Answering the Age-Old Question: Should My Client Be an S Corporation or a Partnership/LLC (With a Few C Corporation Issues Tossed in)

One of the most frustrating aspects of tax practice has been the attempt at synthesizing the choice of entity decision for new businesses. The issue is also present when a C corporation must decide if an S election is warranted or when other existing businesses want to reconsider their entity choice. Unfortunately, too often our clients assume the answer is straight-forward (and sometimes it is!; but often it isn’t!), and are unwilling to pay for the required analysis. This seminar spans an entire morning and will provide an opportunity for participants to review slowly and methodically selected materials that will assist the practitioner in making the final entity selection. The session will include a lively discussion that will enhance the learning process and provide a worthwhile experience for all attendees.

The program will review:

• "Checklist items" such as identity of the owners, types and amounts of income or losses anticipated, need for basis for distributions or losses, likelihood of additional contributions and/or distributions, the determination of appropriate exit strategies, etc.
• Comprehensive checklist containing dozens of items that focus on S corporation vs. LLC/Partnership analysis
• Selected case studies that highlight the issues
