Profile •Tanner is a partner / principal in Ernst & Young LLP's People Advisory Services practice in the Dallas office. His nearly 15 years of experience have been primarily focused on assisting clients with respect to compensation and benefits matters in connection with mergers, acquisitions, divestitures. Specific Experience (Selected) •Performing due-diligence procedures on various aspects of the human resource function, as well as designing and implementing post-merger integration plans. •Advising buy and sell-side clients on tax implications of Internal Revenue Code Section 280G golden parachute rules, including application of pre and post-change-in-control reasonable compensation, implementation of restrictive covenants, and shareholder cleansing votes and disclosures. •Providing advice to clients relating to the tax aspects of various compensation and benefit issues, including issues related to Internal Revenue Code Sections 83, 105, 106, 125, 162(m), 280G, 404, 409A, 4980H, and 4999. •Advising clients with respect to the design of severance, retention, and deferred compensation arrangements. •Assisting clients with developing total reward structures and design including base salary, annual and long-term incentive programs, deferred compensation arrangements, benefit plans and performance management programs.
