Marion Duffy is a Managing Director in the SEC & Accounting Advisory Services practice. Ms. Duffy has more than 20 years of experience in audit, accounting and advisory services in a variety of industries including technology, biotechnology, renewable energy, diamond mining, fishing, medical equipment, international shipping, and manufacturing. She is often engaged by corporate clients on accounting advisory matters, including the application of accounting standards, planning for and evaluating the impact and disclosure of transactions, the application and response to SEC regulations, adopting new accounting standards and responding to auditor requests. She also conducts internal investigations concerning accounting and financial reporting fraud and misappropriation of assets. Her clients range from start-ups to large publicly traded companies.

Ms. Duffy has experience in accounting principles generally accepted in the United States (“U.S. GAAP”) on a variety of technical accounting issues, including revenue recognition under ASC 606, Revenue from Contracts with Customers, leases under ASC 842, Leases, business combinations, stock-based compensation, consolidations, foreign currencies, goodwill, intangible assets, earnings per share, segment reporting, inverted lease and partnership flip fund accounting, variable interest entities, non-controlling interests, hypothetical liquidation at book value (“HLBV”) calculations, and collaboration agreements.

Ms. Duffy has assisted clients in the renewable energy, technology and biotechnology industries in planning for and executing initial public offerings. She proactively manages all financial reporting aspects of an S-1 document, and assists clients in responding to the inevitable challenges that arise during the process. Ms. Duffy has strong expertise with various SEC reporting matters including the preparation of public company financial statements, Article 11 pro-forma financial statements, SEC comment letters, and S-X Rule 3-05 requirements.

Ms. Duffy’s technical accounting experience has been as part of both a corporate technical accounting team as well as a client services team. She has also worked in the industry as a controller for a mid-sized consulting firm in Brussels, Belgium and London, United Kingdom. She began her career at Deloitte, South Africa, where she was the first woman audit partner and specialized in multi-national clients listed on the Johannesburg Stock Exchange and reporting under International Financial Reporting Standards.

Ms. Duffy has a Bachelor of Commerce and a Postgraduate Diploma in Accounting from the University of Cape Town and is an active member of the South African Institute of Chartered Accountants. She speaks English, French at an advanced level, and Afrikaans at an intermediate level.
