This session will cover the basics of valuation, deal structure and other economic considerations for advisers who seek to sell internally. It will also help attendees understand how to migrate equity to the next generation in a way that best enables all parties to achieve their transition goals. Attendees will:
• Learn how to use earn-outs, promissory notes, down payments and other economic elements to create optimal deal structure
• Receive an overview of valuation and discounting valuation for minority shareholders
• Learn how to consider both buyer and seller goals to craft custom deal structure to optimize the transition
